April 2, 2004 — Respironics, headquartered in Murrysville, Pennsylvania, USA, develops, manufactures and markets medical devices used mainly in the treatment of patients suffering from respiratory disorders. The company?s principal product lines are continuous positive airway pressure (CPAP) devices and bi-level positive airway pressure devices used in the home for the treatment of obstructive sleep apnoea (OSA); respiratory devices, including bi-level non-invasive ventilatory support units, critical care units that can deliver both non-invasive and invasive ventilation; non-invasive cardiorespiratory
monitors; portable invasive volume ventilator units used in the home; home oxygen devices, diagnostic and monitoring systems, developmental care products used for premature infants; and asthma and allergy devices for both home and hospital use.

Respironics? headquarters and main manufacturing facilities are in Murrysville, Pennsylvania. The company?s other major US manufacturing facilities are located in Kennesaw, Georgia, and Carlsbad, California. Respironics? research and development activities are primarily carried out at its Wallingford, Connecticut facility, which previously functioned as a manufacturing plant. Outside the US, Respironics has manufacturing facilities in Shenzhen and Hong Kong, China, and Subic Bay, the Philippines. The company also has offices and/or warehouse and distribution facilities in Hong Kong, Tokyo and Saitama City, Japan; Herrsching, Germany; and Nantes and Paris, France. In addition, in March 2004 Respironics acquired Caradyne, based in the Republic of Ireland. In fiscal 2003, ended 30th June 2003, Respironics reported revenue of US$629.8 million which was a 27% increase compared with US$494.9 million in fiscal 2002. Net income in fiscal 2003 was US$46.6 million, up 21% from US$38.4 million in fiscal 2002. Revenue for the first six months of fiscal 2004 was US$356.4 million, up 23% compared with the first six months of fiscal 2003. Net income for the first half of fiscal 2004 totalled US$27.1 million, up 50% compared with the first six months of fiscal 2003.

Growth in fiscal 2003 and in the first half of fiscal 2004 was driven by increased sales of sleep apnoea therapy devices, masks and accessories, which constitute the company?s largest product line. Sales of developmental infant care products and homecare ventilation devices also contributed to growth. Respironics? developmental infant care products are provided by its Children?s Medical Ventures subsidiary which was gained through the acquisition of Novametrix in April 2002. The acquisition of Novametrix also added a range of non-invasive cardiopulmonary monitoring systems to the company?s product line.
